The Board of Directors

The Board of Directors initially consisted of the two founders of the CIRMF, the Gabonese Government and Elf Gabon, but it is now open to other partners. The French Government (through the Ministry of Foreign and European Affairs) joined the Board in March 1993.

The Board of Directors is composed of a maximum of 15 members appointed equally by the Gabonese Government and the Total Group. It meets at least once a year and whenever convened by its President and in case of absence by the Vice-President or on request of half of its members. The Director General presents his general activity report; the Financial Director presents the financial report and the report of the Auditor. The Board elects from among its members for a renewable period of two (2) years, a bureau composed of a president, a vice-president and secretary. The Gabonese Minister of Foreign Affairs, International Cooperation and Francophony is the current president, and the vice-president is the Chairman of Total Gabon. Other members include the CEO of Total Gabon, the Managing Director of Total Gabon, the Legal Director of Total Gabon, the Medical Director of TOTAL France (Paris), the Counsellor for Cooperation of the French Ministry of Foreign and European Affairs and the Gabonese Ministers of Health, Social Affairs, Solidarity and Family, Mines, Petroleum and Hydrocarbons, National Education, Higher Education, Scientific Research and Innovation, Spokesperson of the Government, Budget, Public Accounts, Public Service, in charge of State Reform, a representative of the Head of State and a guest member in the person of the Director General of the CIRMF.

The Board of Directors determines the scientific policy of the CIRMF based on the recommendations of the Scientific Council and adopt goals in technical and administrative fields by issuing directives to the Director General; appoints the Director General based on the recommendations of the Scientific Council; adopts the program execution plan; reviews expenditures and approves the accounts for the year ended presented by the Director General; approves the budget for the following year according to the proposals of the Director General and determines the level of financial participation of the Members for the period; adopts the rules of procedure of the CIRMF; appoints the members of the Scientific Council; determines the procedure for admission and termination of Associate Members; authorizes any legal action, as plaintiff or defendant; amends the Statutes of the CIRMF; appoints for three (3) years, an Auditor to audit the books and accounts of the CIRMF, the annual report and the material situation of the laboratories, archives, moveable and immovable property to ensure the production and distribution of any or all products developed in CIRMF departments; decides on the establishment of contractual relations with one or more companies or the Centre’s participation in the establishment of a company.

The Board elects from among its members for a renewable period of two (2) years, a Bureau composed of a president, vice-president and secretary.
